These Terms of Use (“Terms”) govern your access to and use of UMe Tea’s services, websites, and platforms (collectively, “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, please do not use our Services.

Acceptance of Terms

You must be at least 13 years old to use UMe Tea's Services. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian; purchases and account registration require you to be at least 18 or have a parent or guardian complete them on your behalf. If you use the Services on behalf of an organization, you confirm you have the legal authority to bind it. Your use of our Services signifies your agreement to comply with these Terms.

Services Overview

UMe Tea provides a range of digital solutions to support restaurant and retail operations, including but not limited to:

Store Operations: Business profile management, CMS-powered websites, location and menu management, order processing, Kitchen Display Systems (KDS), and third-party delivery service integrations.
Sales Channels: Third-party order aggregator connections, self-service kiosk applications, and branded online ordering platforms for web and mobile.
Marketing Tools: Social media integrations, email marketing campaigns, and promotional management solutions.
Customer Data Platform: Customer data collection, Customer Relationship Management (CRM), and business intelligence tools.

SMS Terms & Conditions

UMe Tea SMS messages are used for low-volume, one-to-one business communication with landlords, brokers, real estate agents, vendors, and business partners. Messages may relate to site selection, store leasing opportunities, appointment coordination, follow-up questions, and related business matters.

By providing your mobile phone number to UMe Tea or its authorized representatives, you consent to receive SMS messages related to the business conversation or request. Consent is not a condition of purchase.

Message frequency varies based on the conversation. Message and data rates may apply.

You can opt out at any time by replying STOP. After you send STOP, we may send one confirmation message and then stop sending SMS messages unless you opt in again.

Wireless carriers are not liable for delayed or undelivered messages.

UMe Tea handles personal information according to our Privacy Policy. UMe Tea does not sell, rent, or share mobile opt-in information, mobile phone numbers, or SMS consent with third parties for their marketing or promotional purposes.

SMS Consent Process

UMe Tea sends low-volume, one-to-one text messages to landlords, brokers, real estate agents, and business partners regarding specific site-selection and leasing discussions.

Before sending text messages, an authorized UMe Tea representative asks:

“May UMe Tea send you one-to-one text messages about this site or leasing opportunity? Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help.”

Text messages are sent only after the recipient clearly agrees. Consent is not a condition of doing business. UMe Tea records the date, source, and purpose of consent. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes.

Account Registration

To access certain features, you must register for a UMe Tea account. You agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

Merchant Responsibilities

Merchants using UMe Tea’s Services are solely responsible for complying with all applicable laws, including those related to privacy, consumer protection, and employment. Merchants must ensure that all data entered into the UMe Tea platform is accurate, lawful, and maintained in compliance with legal standards.

Customer Data

UMe Tea processes customer personal data on behalf of merchants as a service provider. Merchants are responsible for managing their customer relationships and ensuring that all customer data is collected, processed, and stored in accordance with applicable privacy regulations.

Fees and Payments

Certain features of UMe Tea’s Services require payment. You agree to pay all applicable fees associated with your account. All fees are non-refundable unless expressly stated otherwise. UMe Tea reserves the right to revise pricing and will provide notice of any changes to affected users.

Intellectual Property

All rights, title, and interest in and to UMe Tea’s Services, including all intellectual property rights, are retained by UMe Tea. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes, in accordance with these Terms. You may not reproduce, modify, distribute, or create derivative works based on UMe Tea content.

Acceptable Use

You agree not to:

Use the Services for any unlawful or unauthorized purpose.
Access or attempt to access systems without authorization.
Reverse engineer, decompile, or extract source code from the software.
Interfere with or disrupt the functionality or security of the Services.

Third-Party Services

UMe Tea’s Services may integrate with third-party services (such as delivery providers, payment processors, and marketing platforms). UMe Tea is not responsible for the availability, content, or performance of these third-party services, which are subject to their own terms and policies.

Limitation of Liability

To the maximum extent permitted by law, UMe Tea shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. UMe Tea’s total liability under these Terms shall not exceed the amount you have paid to UMe Tea in the twelve (12) months preceding the event giving rise to the claim.

Warranty Disclaimer

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. UMe Tea disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to defend, indemnify, and hold harmless UMe Tea, its affiliates, directors, officers, and employees from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or your breach of these Terms.

Termination

UMe Tea reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or other conduct deemed harmful to UMe Tea or other users.

Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law rules. Any disputes relating to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in San Francisco, California.

Modifications to the Terms

UMe Tea may update or modify these Terms at any time. Significant changes will be communicated through our website or other appropriate channels. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
